In this course, we start with a historical overview of Canadian corporate law, allowing for an understanding of how and why certain Acts came to be.
We then differentiate between federal and provincial incorporation and outline how one jurisdiction may regulate incorporations made by the other.
You will learn to what extent the Charter of Rights and Freedoms is applicable to corporations, and the functions of corporate law, including the policies that underpin it.
Lastly, we discuss rules protecting all shareholders, minority shareholders, and non-shareholder stakeholders.
